Terms of Service - Auditory

These Terms of Service ("Terms") govern your use of the Auditory application and related services provided by Tactical Edge AI, LLC ("Company," "we," "our," or "us"). By purchasing, downloading, installing, or using Auditory, you agree to be bound by these Terms.

1. License Grant

1.1 Personal License

Upon purchase of an Annual or Lifetime license, we grant you a non-exclusive, non-transferable license to install and use Auditory on your personal devices for personal or professional use.

1.2 Team License

Team licenses permit the specified number of users within your organization to install and use Auditory. Each user must have their own license seat.

1.3 License Restrictions

You may not:

Redistribute, sell, lease, or sublicense the software
Reverse engineer, decompile, or disassemble the software
Remove or modify any proprietary notices or labels
Use the software for any unlawful purpose
Share license keys with unauthorized users

2. Pricing and Payment

2.1 License Types

Annual License ($9.99/year): Renews automatically each year until cancelled.
Lifetime License ($49 one-time): Perpetual license with all future updates included.
Team License ($79/year for 5 users): Annual subscription for team use.

2.2 Payment Processing

All payments are processed securely through Stripe. By making a purchase, you agree to Stripe's terms of service.

2.3 Automatic Renewal

Annual and Team subscriptions automatically renew at the end of each billing period. You may cancel at any time through your account settings. Cancellation takes effect at the end of the current billing period.

2.4 Price Changes

We reserve the right to modify pricing. Price changes will not affect existing licenses until renewal. We will notify you of price changes at least 30 days before they take effect.

3. Refund Policy

We offer a 30-day money-back guarantee on all new purchases. If you are not satisfied with Auditory for any reason, contact us within 30 days of purchase for a full refund.

Refunds are not available for:

Purchases made more than 30 days ago
Subscription renewals (cancel before renewal to avoid charges)
Licenses that have been terminated for violation of these Terms

4. Software Updates

All license types include access to software updates:

Annual License: Updates during the subscription period
Lifetime License: All future updates, including major version upgrades
Team License: Updates during the subscription period

We reserve the right to discontinue support for older operating system versions.

5. Intellectual Property

5.1 Our Rights

Auditory, including its code, design, features, and documentation, is owned by Tactical Edge AI, LLC and protected by copyright and other intellectual property laws. Your license does not transfer any ownership rights.

5.2 Your Content

You retain full ownership of all content you create, process, or transcribe using Auditory. We claim no rights to your transcriptions, recordings, or any other user-generated content.

5.3 Feedback

If you provide feedback or suggestions, you grant us the right to use such feedback without obligation to you.

6. Privacy and Data

Auditory processes all audio and transcription data locally on your device. We do not collect, transmit, or store your transcriptions or recordings. For details, see our Privacy Policy.

7. Disclaimer of Warranties

AUDITORY IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

The software will meet all your requirements
The software will be error-free or uninterrupted
Transcriptions will be 100% accurate
The software will be compatible with all systems or configurations

Transcription accuracy depends on factors including audio quality, background noise, accents, and technical vocabulary.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
Our total liability shall not exceed the amount you paid for your license in the 12 months preceding the claim
We are not liable for any loss of data, business interruption, or lost profits

9. Indemnification

You agree to indemnify and hold harmless Tactical Edge AI, LLC from any claims, damages, or expenses arising from:

Your use of the software
Your violation of these Terms
Your violation of any third-party rights

10. Termination

10.1 Termination by You

You may stop using Auditory at any time. For subscriptions, cancel through your account settings to prevent future charges.

10.2 Termination by Us

We may terminate or suspend your license if you:

Violate these Terms
Engage in fraudulent activity
Use the software for illegal purposes

10.3 Effect of Termination

Upon termination, your license to use Auditory ends. Sections regarding intellectual property, disclaimers, limitations of liability, and governing law survive termination.

11. Governing Law and Disputes

These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to conflict of law principles.

Any disputes shall be resolved through:

Good-faith negotiation
If negotiation fails, binding arbitration in accordance with the American Arbitration Association rules
Arbitration shall take place in Tysons Corner, Virginia

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Tactical Edge AI, LLC.

12.2 Severability

If any provision is found unenforceable, the remaining provisions remain in full force and effect.

12.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of such right or provision.

12.4 Assignment

You may not assign your rights under these Terms without our consent. We may assign our rights without restriction.

13. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or through the application. Continued use after changes constitutes acceptance of the new Terms.
